OASA Constitution (Short Form)

Preamble

We, the members of OASA, united in devotion to Earth and the flourishing of all life, enter into covenant to restore ecosystems, revitalize communities, and co-create an economy rooted in reciprocity and care. Human wellbeing is inseparable from the wellbeing of soil, water, air, plants, animals, and the microscopic life that sustains us. We reject extractive systems that degrade land for short-term gain and commit to a long-term regenerative vision.

OASA is a distributed association of people and place-based projects stewarding land in perpetuity through commons-based legal, ecological, and digital structures. We choose open-source technology, transparent governance, and tokenized access rights so that stewardship is fair, adaptive, and aligned with ecological processes.

I. Identity and Membership

OASA is a Swiss non-profit association coordinating a global network of regenerative land projects that operate as commons. Each project comprises: land held in trust through a Special Purpose Vehicle controlled by the association, a governance body of Citizens, and a local utility token representing access and participation rights.

Membership is open to anyone committed to the regenerative mission. Citizenship requires holding a threshold of the project token, material contribution to stewardship, and vouching by existing Citizens. Membership confers no land ownership or profit rights, only use rights and a voice in governance.

II. Land and Legal Structure

Land is placed into an SPV whose sole purpose is stewardship for ecological and community benefit. Land may never be sold or encumbered except as this constitution explicitly permits. Each project is self-governing through its Project Assembly, which sets masterplans, local rules, budgets, and token parameters within constitutional limits.

III. Regenerative Principles

Every project must uphold these minimum standards and may exceed them:

1. Soil. Keep soil alive and covered year-round. No synthetic fertilizers or pesticides. Build fertility through compost, green manures, biochar, and biological pest management.
2. Water. Capture and store rainfall; slow, spread, and sink water. Aquifers only as last resort. Treat greywater and blackwater biologically for reuse. Restore natural water bodies.
3. Air. No open burning of toxic materials. Sequester carbon through reforestation, no-till practices, and biochar.
4. Waste. Adopt a non-waste mindset. Minimize, recycle, compost, and upcycle. Never dump waste on land.
5. Rewilding and biodiversity. Dedicate at least 50% of land to wild or rewilded areas. Plant diverse native species, integrate food forests, protect ancient trees, remove invasives.
6. Resources. Prioritize renewable energy and local natural materials. Limit built structures to 5% of land. Source food locally and seasonally, emphasizing plant-based diets.
7. Community. Practice equivalence, consent-based decisions, transparency, and restorative conflict resolution. Share knowledge openly and build strong relationships with neighbors.

IV. Governance

• General Meeting (GM): the highest body, composed of delegates from all projects. It admits or removes projects, amends this constitution, and resolves appeals.
• Project Assemblies: govern their own projects, adopting masterplans, rules, budgets, and token design.
• Executive Teams: run day-to-day operations, accountable to their Assemblies.
• Guardians of Nature: trusted individuals or bodies representing the rights of soil, water, air, flora, and fauna. They may flag or veto decisions threatening ecological integrity.

Constitutional matters require a supermajority at the GM plus Guardians’ consent. Governance weight is tied to tokens but modulated by presence and contribution to prevent absentee control. Reserved matters, including land sale, liquidation, or profit distribution, are prohibited outright.

V. Technology and Digitized Commons

Data, code, and governance systems are public goods: open-source, transparent, and private by design. Each project issues a utility token minted on a one-way bonding curve. Tokens grant access rights (nights, harvest shares, votes) and governance participation. They are non-equity, non-refundable, and confer no financial return.

Projects monitor ecosystems through sensors, satellites, and community observation, with data open to Citizens and Guardians. AI agents may analyze, recommend, and forecast, but they cannot decide autonomously. Final authority always rests with Citizens and Guardians. Personal data remains under individual control; surveillance and non-consensual profiling are prohibited.

VI. Economy of Regeneration

Projects generate income through hospitality, co-housing, education, ecological products, ecosystem service credits, and culture, provided ecosystems are not overburdened. Catalytic capital is welcome as non-speculative funding whose returns are measured in ecological health and community resilience. OASA is non-profit: no dividends, ever. Surpluses are reinvested into restoration, community wellbeing, or open-source research.

VII. Accountability

Each project reports annually on soil, water, air, waste, biodiversity, resource use, and community wellbeing. Falling short triggers a remediation plan; ongoing degradation triggers intervention; egregious breaches can lead to expulsion. Conflicts are addressed first through restorative practices and mediation, with Swiss courts (Zug) as last resort.

VIII. Future Generations

Every decision, constitutional, legislative, or executive, shall be evaluated against its impact on at least seven future generations of human and more-than-human life. No action may knowingly compromise the ability of future communities to thrive in reciprocity with ecosystems.

IX. Sovereignty and Freedoms

Sovereignty resides in the ecological commons itself, not in any nation, corporation, or individual. Citizens hold equal dignity and responsibility. They may speak, create, and question openly, provided they do not degrade the commons. No one shall be subject to violence, coercion, or degrading treatment. Freedoms are paired with duties: personal sovereignty is inseparable from the flourishing of all life.

By adopting this constitution, we commit to a life-affirming path as co-stewards of Earth alongside more-than-human beings. We envision a future where land is held in common, technology serves life, and communities express collaboration, care, and creativity. This document lives: we will update it as our understanding grows and pass its spirit to those who steward these places long after we are gone.
